Terms Publishers

The following Terms and Conditions (‘’Publisher Terms and Conditions’’, ‘’Agreement’’, etc.) shall apply to any of the Services (as defined below) to be provided by a Publisher (as defined below) to SOLIDHIT LLC.

SOLIDHIT LLC (‘’SOLIDHIT’’, ‘’Solid Hit’’, ‘’Solid Hit Advertising’’, ‘’We’’, ‘’Our’’, etc.) being the network offering Offers, and The Publisher (‘’Affiliate’’, ‘’You’’, etc.) being the owner, administrator or controller of a website or traffic source who seeks to become our Publisher and/or to participate in an Offer and use/link/place/display a particular ad/advertisement to your website/traffic source, aiming the successful completion of that particular Offer through the Qualified Action of end user(s).

By using the Service, you agree to the Publisher Terms and Conditions. If you do not wish to agree to them, you cannot use the Service.

1. Definitions

“Ads”or ‘’Traffic’’ means links, banner ads, buttons, pop-ups, pop-unders, co registrations, lead generations, rich media, content scripts, promotional and other advertising material and any kind of commercially sponsored or related content, related to Advertiser and/or a specific Campaign.
“Publisher” or ‘’Affiliate’’ means a party that has decided to enter into this Agreement and to assign SOLIDHIT to provide services in accordance with these Terms and Conditions.
“Advertiser” means a legal person or natural person acting as a business, that wishes to engage SOLIDHIT to provide the Services via its network of Publishers.
‘’SOLIDHIT’’ means SOLIDHIT LLC, a company incorporated under the laws of Dover, Delaware, United States of America and registered under EIN 87- 4704750.
‘’Offer’’ means an advertisement campaign of an Advertiser accessible via a specific Landing Page.
“Qualified Action” or ‘Conversion’’ means an action upon which the commercial deal is based (for example without limitation) CPM (Cost Per Mille), CPA (Cost Per Action), CPC (Cost Per Click), CPL (Cost Per Lead), CPD (Cost Per Download), CPPU (Cost Per Paying User), CPAU (Cost Per Active User)or CPI (Cost Per Install).
‘’Fraudulent Traffic’’ also known as Invalid Conversions may originate (for example without limitation) from automatic openings, spiders, robots, requests in email or chat rooms, script generators, placing links on websites other than those informed and clicks which are not generated by a browser or clicks which are not preceded by an active act of a true visitor who wants to reach a specific website. This kind of traffic will not be paid from SOLIDHIT to Publisher.
“Commission” is the fee per every Valid Conversion to be paid by SOLIDHIT to Publisher.

2. Applicability

These General Terms and Conditions apply to all offers, quotations and proposals made by SOLIDHIT as well as to the Agreement and all other agreements to which SOLIDHIT is a party.
Variations, amendments and additions to these Publisher Terms and Conditions shall only be valid if agreed in writing between the Publisher and SOLIDHIT.
SOLIDHIT shall at all times be entitled to alter and/or update these Publisher Terms and Conditions. The most up-to-date Agreement shall be available on the Website or shall be brought to the attention of the Publisher while using the Service.

3. The Service

Upon acceptance of the Publisher to SOLIDHIT and the confirmation thereof by SOLIDHIT, the Publisher shall start performing the Services to SOLIDHIT.
With respect to providing the Services, the Publisher represents and warrants:
a. To perform the Services on a best effort basis, thereby taking into account professional skill and care;
b. To adhere to specific instructions from SOLIDHIT;
c. That any information provided to SOLIDHIT regarding itself and/or its business shall be true, accurate and complete;
d. To comply with the applicable legislation and/or regulation and requirements of the Offer;
e. To provide Ads with applicable age rating, where applicable or legally required.

The Publisher shall indemnify and hold SOLIDHIT harmless from and against any costs, damages or expenses resulting from any third party claims that arise from or are in any way relating to or resulting from the Publisher’s non compliance with one or more of the representations and warranties mentioned above.

4. Payment

For providing the Services, the Publisher is entitled to receive a Commission from SOLIDHIT. The Publisher acknowledges and accepts that SOLIDHIT will provide evidence for the calculation of the Commission, regardless of the Publisher’s right to provide evidence of the contrary. In this respect the Publisher also acknowledges and accepts that SOLIDHIT shall implement and use tracking code software tools to monitor and register traffic and Conversion and potential Fraudulent Traffic generated on or via the Landing Page(s) of Publisher.

In the case whereby Ads are placed in website(s)/Traffic source(s) that are in breach with the Offer requirements, SOLIDHIT reserves the right to withhold payment for a specific and/or all Offers in which Publisher is participating in and/or submit an immediate legal action against the Publisher and/or set a monetary fine in the amount based on the damages caused to SOLIDHIT.

SOLIDHIT does not check or control the activities or contents at the Publisher’s traffic sources, but all the services may be rejected and we reserve the right to delete your account, withhold and freeze all fees and remunerations if the Publisher’s engages in fraudulent or illegal activity.

5. Privacy

The Publisher shall keep confidential all Confidential Information disclosed by or received from SOLIDHIT and the content of any communication with SOLIDHIT or its Advertisers in connection with the Services.

The Publisher shall not use or disclose such Confidential Information for any purpose except as necessary to fulfil the Services, or other obligations under the Agreement, or as required by law.

The Publisher shall limit access to the Confidential Information solely to employees, agents or any other person who need to obtain such access to fulfil the Services or any other obligation under the Agreement. If that is the case, the Publisher shall require its employees, agents and other persons who have access to the Confidential Information to abide by confidentiality obligations.

6. Termination

This Agreement shall commence upon your acceptance and remain in effect until terminated.
The Agreement may be terminated by either Party upon 48-hour notice.
SOLIDHIT reserves the right, in its sole and absolute discretion, to terminate the services and remove any Offers and/or Ads at any time for any reason. In any case of termination of your participation in one or more Offers or this Agreement for any reason, the Publisher will immediately cease all use of and delete all Offers, Ads and all SOLIDHIT intellectual property, and will cease representing itself as a SOLIDHIT Publisher for such one or more Offers.

7. Force Majeure

Neither party shall be liable to the other by reason of failure or delay in the performance of its obligations hereunder on account of natural disasters of any kind, war, governmental action, interruption in internet service or any other cause which is beyond the reasonable control of such party. The party referring to such force majeure circumstances shall notify the other party on arising within 3 working days from the date of its occurrence with the relevant evidence.

8. Miscellaneous

Nothing in these Terms and Conditions shall create or be deemed to create a partnership or relationship of employer and employee between SOLIDHIT and the Publisher.
This Agreement is the principal document in legal relationship of SOLIDHIT and the Publisher, and shall be deemed an entire agreement of the parties. In case of contradictions in using Service, present Agreement shall prevail in any case.
SOLIDHIT’s failure to exercise, or delay in exercising any rights under the Agreement does not constitute a waiver of such rights.
